Terms and Conditions

These Terms and Conditions (the "Terms") form a legally binding agreement between you ("you", "User", or "Customer") and Appify Commerce ("Appify Commerce", "we", "us", or "our") and govern your access to and use of our websites, applications, plugins, extensions, APIs, and related services (collectively, the "Service").
By accessing, installing, registering for, or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms, our Privacy Policy and our Refund and Cancellation Policy. If you do not agree, you must not use the Service.
1. Eligibility
In order to use the Service, you must:
- Be at least eighteen (18) years old and able to legally enter into binding contracts;
- Agree to these Terms and all referenced policies;
- Provide true, complete, and up-to-date registration and contact information; and
- Not be — either individually or as part of a group, entity, or state — subject to EU, US, UK, or UN sanctions, embargoes, or bans that prohibit the use of the Service.
By using the Service, you represent and warrant that you meet all the requirements above and that you will not use the Service in any way that violates applicable laws or regulations. Appify Commerce may refuse service, suspend or close accounts, and change eligibility requirements at any time and at its sole discretion.
2. Accounts and Security
- You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
- You must notify us immediately of any unauthorized access or security breach.
- You agree not to share your account, transfer it, or allow any other person to use it without our prior written consent.
- We reserve the right to suspend or terminate accounts that we reasonably believe are being used in violation of these Terms.
3. Subscriptions, Billing, and Payments
A portion of the Service is offered on a subscription basis ("Plans"). The following terms apply to all paid Plans:
- Billing cycles. Billing is recurring and periodic, based on the Plan you select (e.g., monthly or annual). Fees are charged in advance for the upcoming billing cycle.
- Auto-renewal. Unless you cancel your Subscription or we terminate it, your Subscription will automatically renew under the same conditions and at the then-current price.
- Payment methods. We accept major credit and debit cards (including American Express, Visa, Mastercard, and others) and other payment methods displayed at checkout. By providing a payment method, you authorize us (and our payment processors) to charge all fees due under your Plan.
- Taxes. All fees are exclusive of applicable taxes, levies, or duties unless stated otherwise. You are responsible for paying any such taxes.
- Late or failed payments. If a payment fails, we may retry the charge, suspend access to the Service, downgrade your Plan, or terminate your account. You agree to reimburse us for any reasonable costs incurred in collecting overdue amounts.
- Price changes. We may modify our pricing from time to time. Material changes will be communicated through the Service, by email, or by other reasonable means before they take effect.
- Currency. Unless otherwise stated, charges are billed in US Dollars (USD).
4. Free Trials and Promotional Offers
We may offer free trials or promotional pricing for certain Plans. Unless cancelled before the end of the trial or promotional period, your Subscription will automatically convert to a paid Plan and you will be charged the standard fee. Trial eligibility, duration, and features may be changed or revoked at our discretion.
5. Cancellation and Termination
5.1 Cancellation by You
- You may cancel your Subscription at any time through your account settings on the relevant platform (e.g., Shopify, Ecwid, Magento, WordPress) or by contacting our support team at support@appifycommerce.com.
- Cancellation takes effect at the end of the then-current billing cycle. You will continue to have access to the Service until the end of that period.
- Refunds (if any) are governed by our Refund and Cancellation Policy.
5.2 Termination by Appify Commerce
We may suspend or terminate your access to the Service, in whole or in part, at any time without prior notice if:
- You breach these Terms or any other applicable policy;
- We are required to do so by law or by a regulatory authority;
- Your use of the Service poses a security, legal, or operational risk to us, other users, or third parties;
- Your account remains inactive or unpaid for an extended period.
5.3 Effect of Termination
Upon termination, your right to access and use the Service will immediately cease. Sections that by their nature should survive termination (including intellectual property, disclaimers, limitation of liability, indemnification, and dispute resolution) will continue to apply. We may delete your account data after a reasonable retention period in accordance with our Privacy Policy and applicable law.
6. Intellectual Property Rights
6.1 Ownership
All rights, title, and interest in and to the Service — including all software, source code, object code, designs, user interfaces, graphics, text, logos, trademarks, service marks, trade names, documentation, and any related intellectual property — are and will remain the exclusive property of Appify Commerce or its licensors. The Service is protected by copyright, trademark, and other applicable intellectual property laws.
6.2 License to Use
Subject to your compliance with these Terms and timely payment of applicable fees, Appify Commerce grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service for your internal business purposes during the term of your Subscription.
6.3 Restrictions
You agree that you will not, and will not permit any third party to:
- Copy, modify, translate, adapt, or create derivative works of the Service;
- Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Service, except to the extent expressly permitted by applicable law;
- Rent, lease, lend, sell, sublicense, distribute, or otherwise commercialize the Service;
- Remove or alter any proprietary notices or labels;
- Use the Service to build a competing product or service.
6.4 Customer Content
You retain all rights in any data, content, or materials that you upload, submit, or make available through the Service ("Customer Content"). You grant Appify Commerce a worldwide, non-exclusive, royalty-free license to host, store, process, transmit, display, and use Customer Content solely as necessary to provide, maintain, secure, and improve the Service. You represent and warrant that you have all rights necessary to grant this license and that your Customer Content does not infringe the rights of any third party.
6.5 Feedback
If you provide suggestions, ideas, or feedback regarding the Service, you grant Appify Commerce a perpetual, irrevocable, worldwide, royalty-free license to use and incorporate such feedback into the Service without any obligation to you.
7. User Obligations and Acceptable Use
You agree to use the Service only for lawful purposes and in accordance with these Terms. You will not, and will not allow others to:
- Use the Service in violation of any applicable law, regulation, or third-party right;
- Upload or transmit any content that is unlawful, infringing, defamatory, obscene, harassing, or otherwise objectionable;
- Use the Service to send spam or unsolicited communications;
- Interfere with, disrupt, or impose an unreasonable load on the Service or its infrastructure;
- Attempt to gain unauthorized access to the Service, other accounts, or any related systems or networks;
- Introduce viruses, worms, malware, or any other harmful code into the Service;
- Probe, scan, or test the vulnerability of the Service without prior written authorization;
- Use the Service to process payments or store payment data in a manner that violates applicable payment-card or data-protection regulations;
- Misrepresent your identity or affiliation with any person or organization;
- Use any automated means (bots, scrapers, crawlers) to access the Service except as expressly permitted.
You are solely responsible for your conduct and for any content, data, or material you submit, post, or display through the Service.
8. Third-Party Platforms and Services
The Service may integrate with or rely on third-party platforms (including but not limited to Shopify, Ecwid, Magento, WordPress, payment processors, hosting providers, and analytics providers). Your use of such third-party platforms is governed by their own terms and policies, and Appify Commerce is not responsible for the availability, content, or practices of any third party. You are responsible for complying with all applicable third-party terms.
9. Privacy and Data Protection
Our collection, use, and disclosure of personal information is described in our Privacy Policy. By using the Service, you acknowledge that your personal information will be processed in accordance with that policy. Where Appify Commerce processes personal data on your behalf, the parties will comply with applicable data protection laws (including the GDPR, UK GDPR, and CCPA, where relevant).
10. Service Availability and Modifications
- We strive to make the Service available with high uptime, but we do not guarantee that the Service will be uninterrupted, error-free, or secure at all times.
- We may, from time to time and at our sole discretion, modify, suspend, add, or discontinue features of the Service. We will use reasonable efforts to give advance notice of material changes.
- Scheduled maintenance, emergency maintenance, and outages caused by events beyond our reasonable control may temporarily affect availability.
11. Disclaimer of Warranties
To the maximum extent permitted by law, the Service is provided on an "AS IS" and "AS AVAILABLE" basis, without warranties of any kind, whether express, implied, statutory, or otherwise. Appify Commerce specifically disclaims all warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, reliability, security, and uninterrupted operation. No advice or information obtained from us or through the Service creates any warranty not expressly stated in these Terms.
12. Limitation of Liability
To the maximum extent permitted by applicable law:
- No indirect damages. In no event shall Appify Commerce, its affiliates, officers, directors, employees, agents, suppliers, or licensors be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including but not limited to loss of profits, revenue, data, goodwill, business opportunities, or other intangible losses, arising out of or relating to these Terms or the Service, even if advised of the possibility of such damages.
- Cap on liability. Our total cumulative liability arising out of or relating to these Terms or the Service shall not exceed the greater of (a) the total fees paid by you to Appify Commerce for the Service during the twelve (12) months immediately preceding the event giving rise to the claim, or (b) one hundred US dollars (USD $100).
- Basis of the bargain. You acknowledge that the limitations of liability in this section are an essential element of the agreement between you and Appify Commerce and that, absent such limitations, the pricing and other terms would be substantially different.
Some jurisdictions do not allow the exclusion or limitation of certain damages; in such jurisdictions, our liability is limited to the smallest extent permitted by law.
13. Indemnification
You agree to defend, indemnify, and hold harmless Appify Commerce and its affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:
- Your use or misuse of the Service;
- Your Customer Content;
- Your breach of these Terms or any applicable law or third-party right;
- Any dispute between you and a third party (including your end customers).
We reserve the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which case you agree to cooperate with our defense.
14. Force Majeure
Appify Commerce will not be liable for any failure or delay in performance to the extent caused by events beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, civil unrest, government action, labor disputes, internet or telecommunications failures, denial-of-service attacks, pandemics, or failures of third-party providers.
15. Governing Law and Dispute Resolution
- Governing law. These Terms are governed by and construed in accordance with the laws of India, without regard to its conflict-of-laws principles.
- Jurisdiction. Subject to the informal dispute resolution process below, the courts located in Ahmedabad, India shall have exclusive jurisdiction over any disputes arising out of or relating to these Terms or the Service.
- Informal resolution. Before initiating any formal proceedings, the parties agree to attempt in good faith to resolve any dispute informally by contacting support@appifycommerce.com and allowing at least thirty (30) days for resolution.
- No class actions. To the extent permitted by law, you agree to resolve disputes with Appify Commerce on an individual basis and waive any right to participate in a class, collective, or representative action.
16. Export Controls and Sanctions
You represent and warrant that you are not located in, under the control of, or a national or resident of any country or territory subject to comprehensive sanctions, and that you are not on any list of restricted or prohibited parties maintained by the United States, the European Union, the United Kingdom, or the United Nations. You agree to comply with all applicable export control and sanctions laws.
17. Changes to These Terms
We may revise these Terms from time to time. When we do, we will update the "Last updated" date at the top of this page and, if the changes are material, provide reasonable notice through the Service or by email. Your continued use of the Service after the effective date of the revised Terms constitutes your acceptance of the changes. If you do not agree to the revised Terms, you must stop using the Service.
18. Assignment
You may not assign or transfer these Terms or any of your rights or obligations under them, by operation of law or otherwise, without our prior written consent. We may assign these Terms in connection with a merger, acquisition, corporate reorganization, or sale of all or substantially all of our assets, or to an affiliate, without your consent.
19. Severability and Waiver
If any provision of these Terms is found to be invalid, illegal, or unenforceable, that provision will be enforced to the maximum extent permitted by law, and the remaining provisions will remain in full force and effect. Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.
20. Entire Agreement
These Terms, together with our Privacy Policy, Refund and Cancellation Policy, and any other policies or agreements referenced herein or accepted by you in connection with the Service, constitute the entire agreement between you and Appify Commerce regarding the Service and supersede all prior or contemporaneous understandings, agreements, representations, and warranties, whether written or oral.
